“ACCREDITED INVESTOR” STATUS - WE ARE
an entity in which all of the equity owners are accredited investors.
(i) an organization described in Section 501(c)(3) of the Internal Revenue Code, (ii) corporation, (iii) Massachusetts or similar business trust, or (iv) partnership, in each case not formed for the specific purpose of investing in the Partnership and with total assets in excess of $5,000,000.
a self-directed employee benefit plan within the meaning of the Employee Retirement Income Security Act of 1974 (“ERISA”), the investment decisions of which are made solely by persons that are accredited investors.
a trust, with total assets in excess of $5,000,000, not formed for the specific purpose of investing in the Partnership, whose purchase is directed by a sophisticated person within the meaning of Regulation D.
